1. Joining the Program
By filling out the signup form you will automatically become an affiliate of ARICASH and are bound by the terms of this agreement. Your participation in the ARICASH affiliate program is solely for this purpose: to ethically and legally advertise ARICASH websites in order to receive a commission on products purchased by individuals you refer.

2. Revocation of Affiliate Status
Your affiliate account in the ARICASH affiliate program may be suspended or terminated without warning or notice for any of the following reasons:

1. Inappropriate advertisements (Making false, libelous or unsubstantiated claims, using misleading hyperlinks, etc...)



2. Spamming (Sending unsolicited commercial email of any kind or quantity even if it complies with the U.S. Federal Anti-Spam Law)



3. Advertising on any website which contains or promotes illegal activities, regardless of whether or not the illegal activities are real or perceived



4. Advertising via PPC (pay-per-click) or other paid placement search or marketing services using keyword(s) or keyword phrases containing the product/service name or website URL of the ARICASH product/service being promoted (including mis-spellings)



5. Loading any ARICASH website(s) in a new window as a console



6. Hiding the destination URL of any ARICASH website(s) through use of frames or other URL cloaking mechanisms



7. Advertising any ARICASH website(s) in any manner which would mislead or cause confusion about the product or the relationship between you, the Affiliate, and ARICASH



8. Setting a cookie or referral tag for any ARICASH website without instantly directing the visitor directly to the same website



9. Receiving commissions for purchases you personally make for any ARICASH product or service



10. Recommending any ARICASH website(s) below your 2nd overall choice on any review/ranking website or similar rating format



11. Encouraging visitors, via any advertising means, to purchase the least expensive option for any product/service from any ARICASH website(s)



12. Advertising any ARICASH website(s) through any means which involve generating or utilizing traffic sources from any form of Spyware, Adware, or Parasiteware applications or involve the use of the practice known as "cookie stuffing"



13. Violating ARICASH and Austin Research Institute, Inc. copyrights, trademarks, service marks, or intellectual property rights



14. Including any ARICASH product name or website name in any TLD (top-level domain) or sub-domain



15. Any attempts to defraud ARICASH or Austin Research Institute, Inc. in any manner

3. Affiliate Links
You may use graphics and/or text links to advertise any ARICASH site. You may advertise online or "offline" (via classified ads, magazines or newpapers). Any marketing materials you create should comply with the conditions in 2.

4. Affiliate Tracking
When a web surfer clicks through your affiliate link, a cookie is set in their browser that contains your affiliate username. Also, their IP address is tracked in the database along with your affiliate name. When this person decides to buy a product, the script will look for this cookie and/or try to match their IP address to identify the affiliate who will be awarded the commission. Visitors sent through your affiliate link may make a purchase later in time and the commission will still be awarded if the cookie is present in their browser and/or the are using the same IP address as the one logged in the database.

5. Terms of the Agreement
This is a Legal Agreement between you, the Affiliate, and Austin Research Institute, Inc. These terms will begin upon your signup with the affiliate program and will end when your affiliate account is terminated. The terms of this agreement may be modified by us at any time without prior notice to you. If any modification to the terms is unnacceptable to you, your only choice is to terminate your affiliate account. Your continuing participation in the program will constitute your acceptance of any change. ARICASH will own all right, title and interest in and to all information that is created or collected in the operation of the ARICASH site. All statistical and graphical information displayed in the ARICASH affiliate program is the ownership of ARICASH, and may not be shared or displayed without prior written consent from ARICASH.

6. Signup Bonuses / Credits
Upon joining the ARICASH affiliate program, you may or may not receive signup bonuses or credits to your affiliate account. These can amount to some form of cash equivalent. These signup bonuses or credits will only be paid out when you have reached the minimum payout amount designated by the ARICASH affiliate program. You cannot redeem these credits for anything else other than what they are, and will not be dispersed until you have generated enough commissions that is equal or greater than the minimum payout amount. If you fail to generate any commissions at all within a period of 6 months, ARICASH reserves the right to revoke and cancel any signup bonuses credited to your affiliate account due to lack of performance.

7. Limitation of Liability
ARICASH will not be held liable to you or any other person for direct, indirect, special, consequential or accidental damages of any character (loss of revenue, commissions) arising from, but not limited to affiliate tracking failures, loss of database files, account termination or suspension, or any results of "intents of harm" to the program or our website. ARICASH does not make any expressed or implied warranties with respect to the affiliate program and/or products/services sold through any ARICASH site. ARICASH makes no claim that the operation of the affiliate program or our website(s) will be error-free and we will not be liable for any interruptions or errors. The Affiliate shall indemnify and hold ARICASH harmless from any and all legal actions, damages or liabilities incurred from the actions or day-to-day operations of you, the Affiliate. Under no circumstances will ARICASH be liable whether in tort, contract or otherwise for any direct, indirect, incidental, consequential, special or exemplary damages (including but not limited to damages for any loss of revenue, profits, business interruption, loss of business information or data, loss of goodwill, work stoppage, hardware or software failure, or other pecuniary loss) arising from or relating to any provision of the ARICASH Terms of Service or the ARICASH affiliate program. You agree that Austin Research Institute, Inc. (ARICASH) has no responsibility or liability as a result of your actions, and you, and the Affiliate, jointly and severally agree to indemnify, defend, and hold harmless Austin Research Institute, Inc. and its affiliates, officers, directors, employees and agents from and against any and all liability, claims, losses, damages, injuries or expenses (including attorneys' fees) directly or indirectly arising from or relating to any offer or any other matter related to the ARICASH Terms of Service or the subject matter hereof and any dispute relating thereto.

8. Business Relationship
The Affiliate and ARICASH are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship, or the relationship of principal and agent between the parties. All copyrighted material and trademarked names and logos used in accordance with this Agreement by either or both parties remain the exclusive intellectual property of the respective originating or issuing parties. No transference of intellectual property ownership or conveyance of rights is intended or conferred in this Agreement. Sales and interests in this Agreement may not be transferred or sold to any other entity and all business between the parties is subject to the terms of this Agreement. Both parties will be held to confidence in any matters of business with regards to this Agreement.

9. Affiliate Responsibility
It is the full responsibility of the Affiliate to advertise all ARICASH web sites and products in a legal, ethical and honest fashion, and the Affiliate agrees that ARICASH will be held harmless from any and all actions of the Affiliate and the Affiliate's marketing and promotional programs. ARICASH reserves the right to amend all pricing plans, commissions or conditions relative to this agreement without prior notice. ARICASH reserves the right to terminate any affiliate with or without cause at the sole discretion of ARICASH with or without notice. The Affiliate may not refer his/her self or his/her company under his/her own existing affiliate account(s), nor shall the Affiliate receive commissions for purchases he/she makes for any ARICASH product or service.

10. Force Majeure
ARICASH shall not be liable hereunder by reason of any failure or delay in the performance of its obligations hereunder on account of strikes, shortages, riots, insurrection, fires, flood, storm, explosions, acts of God, war, governmental action, labor conditions, earthquakes or any other cause which is beyond the reasonable control of such party.

11. Jurisdiction
This Agreement shall be governed by Maryland, USA law (except for conflict of law provisions). The exclusive forum for any actions brought in connection with the ARICASH Terms of Service shall be in the state and federal courts in and for the State of Maryland, USA and you consent to such jurisdiction. The application of the United Nations Convention on the International Sale of Goods is expressly excluded.

12. Miscellaneous
If any provision of the ARICASH Terms of Service is held to be unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable.
